Terms of Service

1. Agreement to Terms

By accessing or using Midrung ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. The Service is provided by Midrung LLC, a Wisconsin limited liability company.

2. Description of Service

Midrung is a cloud-based manufacturing ERP platform that provides quoting, production tracking, quality management, scheduling, purchasing, inventory, and invoicing tools for precision job shops and contract manufacturers.

3. Account Registration

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorized access. One person or legal entity may not maintain more than one free trial account.

4. Subscription and Billing

Paid plans are billed monthly or annually in advance. All fees are non-refundable except as described in our Refund Policy (Section 12). Prices are subject to change with 30 days' notice. We use Stripe for payment processing; your payment information is handled directly by Stripe and never stored on our servers.

5. Free Trial

New accounts receive a 30-day free trial on the Production tier. No credit card is required to start a trial. At the end of the trial period, your account will be locked (data preserved) until you subscribe to a paid plan. We may extend trials at our discretion.

6. Your Data

You retain ownership of all data you upload to Midrung ("Customer Data"). We do not access, use, or share your Customer Data except as necessary to provide the Service or as required by law. You can export your data at any time via CSV export. Upon account termination, your data will be retained for 90 days and then permanently deleted.

7. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to other accounts or systems; (c) interfere with or disrupt the Service; (d) upload malicious code; (e) use the Service to store or process data subject to ITAR/EAR export controls without appropriate compliance measures.

8. ITAR/Export Controls Disclaimer

Midrung is not certified as ITAR-compliant. If you handle ITAR-controlled technical data, you are solely responsible for ensuring your use of the Service complies with all applicable export control regulations including the International Traffic in Arms Regulations (ITAR), Export Administration Regulations (EAR), and Defense Federal Acquisition Regulation Supplement (DFARS). We do not warrant that the Service meets the requirements of any specific compliance framework. Consult with your export control officer before storing controlled data in any cloud service.

9. Service Availability

We target 99.9% uptime but do not guarantee uninterrupted access. We will provide reasonable notice of planned maintenance. We are not liable for downtime caused by factors outside our control, including internet outages, hosting provider issues, or force majeure events.

10. Limitation of Liability

To the maximum extent permitted by law, Midrung's total liability for any claims arising from your use of the Service is limited to the amount you paid for the Service in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption.

11. Indemnification

You agree to indemnify and hold harmless Midrung and its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Refund and Cancellation Policy

Monthly subscriptions can be cancelled at any time; access continues through the end of the billing period. Annual subscriptions may be refunded on a pro-rata basis within the first 30 days. After 30 days, annual subscriptions are non-refundable but can be cancelled at the end of the annual term.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Wisconsin.
